Welcome to kowerk, a service provided by Stable Mischief (AIEOU, LLC), a Tennessee limited liability company ("Company," "we," "us," or "our").

By accessing or using kowerk ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms and the Privacy Policy, you may not access or use the Service.

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.

kowerk is a modern AI chat platform that provides:

• AI-powered conversations using advanced large language models
• Team collaboration with organization and workspace management
• Knowledge base capabilities for document processing and retrieval
• Code artifact generation, versioning, and editing
• Project organization with folder hierarchies and sharing

The Service uses third-party AI providers, including Google's Gemini API, to process your data and generate responses. By using the Service, you agree to comply with the applicable terms and policies of these third-party providers.

To use the Service, you must create an account through our authentication provider (Clerk). You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up-to-date

Workspaces

kowerk supports both personal and organization workspaces. Personal workspace data is private and not visible to organization administrators. Organization workspace data is governed by your organization's policies and may be visible to organization administrators.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Plans & Pricing

The Service offers subscription plans (Free, Pro, Team, Enterprise). Current pricing is displayed on our website and may be subject to change with notice.

Payment Processing

All payments are processed securely through Stripe. By subscribing, you agree to Stripe's terms of service and authorize recurring charges to your payment method.

Quotas & Usage Limits

Each plan includes usage quotas for AI conversations, knowledge base storage, and team seats. Exceeding quotas may result in temporary service limitations until the next billing period or plan upgrade.

By using the Service, you agree to:

• Provide accurate information during registration
• Use the Service only for lawful purposes
• Not attempt to circumvent any security measures
• Not share your account credentials with others
• Not use the Service to generate harmful, illegal, or offensive content
• Comply with all applicable laws and regulations

You are solely responsible for your use of the AI-generated content from the Service and any content you create or share using it.

Our Property

The Service, including its software, design, content, and trademarks, is owned by Stable Mischief and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Your Content

You retain ownership of the content you provide (documents, messages, knowledge base files). By using the Service, you grant us a limited license to process this content solely for the purpose of providing the Service.

AI-Generated Content

You may use AI-generated responses for personal and commercial purposes. However, you may not represent AI-generated content as solely human-created where disclosure is required by law.

Important: The Service generates content using artificial intelligence. You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or inconsistencies
• The AI is not a substitute for professional advice (legal, medical, financial, etc.)
• You are responsible for reviewing and verifying any AI-generated content before use
• We do not guarantee specific outcomes or results

You use AI-generated content at your own risk and discretion.

You may not use the Service to:

• Generate content that is illegal, harmful, threatening, or harassing
• Impersonate another person or entity
• Create content that infringes on intellectual property rights
• Spread misinformation or deceptive content
• Engage in any form of automated data collection or scraping
• Attempt to access other users' accounts or data
• Interfere with the proper functioning of the Service
• Use the Service for any purpose that violates applicable laws

Violation of these prohibitions may result in immediate termination of your account without refund.

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Stable Mischief (AIEOU, LLC), its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, or content you create or distribute using the Service.

By You

You may cancel your subscription and stop using the Service at any time. To request deletion of your account and data, contact us at support@stablemischief.ai.

By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, fraudulent or illegal activity, extended inactivity, or discontinuation of the Service.

Paused Accounts

Accounts with lapsed subscriptions may be paused. Paused accounts retain data for 90 days. After 90 days, data may be permanently deleted. You may reactivate a paused account by subscribing to a plan within this period.

Governing Law

These Terms shall be governed by the laws of the State of Tennessee, without regard to its conflict of law provisions.

Informal Resolution

Before filing any formal legal claim, you agree to first contact us at support@stablemischief.ai to attempt to resolve the dispute informally.

Jurisdiction

Any disputes that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Sumner County, Tennessee. You consent to the personal jurisdiction of such courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and update the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance.

If you do not agree to the changes, you must stop using the Service.

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Stable Mischief regarding the Service. If any provision is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right will not be considered a waiver.
